Welcome to SeniorSpace.
These Terms of Service ("Terms") are a legally binding agreement between you and SeniorSpace LLC ("SeniorSpace," "we," "us," or "our") and govern your access to and use of the SeniorSpace website, platform, applications, and related services (collectively, the "Platform").
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Platform.
Our Privacy Policy explains how we collect and use personal information and is incorporated by reference into these Terms.
Additional Policies. The SeniorSpace Code of Conduct, along with any other policies or guidelines we post from time to time (collectively, "Policies"), are incorporated into these Terms by reference. By using the Platform, you agree to comply with all applicable Policies.
SeniorSpace is a marketplace platform designed to help senior living communities discover, connect with, and communicate with independent vendors who offer programs, services, and experiences for residents.
SeniorSpace provides tools for discovery, communication, and coordination only. SeniorSpace does not provide services itself and is not a party to any agreement between users of the Platform.
The Platform may be used by the following types of users (collectively, "Users"):
All Users must be at least eighteen (18) years of age and able to form legally binding contracts under applicable law.
If you access or use the Platform on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
By accessing or using the Platform, you represent and warrant that:
You agree to indemnify and hold harmless SeniorSpace and its Related Parties from any claims, disputes, or damages arising from your breach of any third-party agreements or obligations in connection with your use of the Platform.

No Guarantee of Bookings or Availability
SeniorSpace does not guarantee that Vendors will receive booking requests, bookings, or any minimum level of participation, income, or opportunity through the Platform. SeniorSpace also does not guarantee that Communities will find suitable Vendors, that Vendors will be available or accept booking requests, or that any particular service, experience, or outcome will be achieved through use of the Platform.
All booking decisions are made solely by Communities based on their needs, preferences, and availability, and all decisions to accept or decline bookings are made solely by Vendors. SeniorSpace's role is limited to facilitating connections and communication and does not include guaranteeing outcomes, availability, or work.
Vendors may set their own terms regarding compensation, which may include charging fees, accepting donations, or providing services without payment, as agreed between the Vendor and the Community.
Communities may require Vendors to comply with specific guidelines or provide additional information as a condition of participation, including but not limited to background checks, certifications, insurance, or adherence to community-specific policies.
SeniorSpace may facilitate access to optional ancillary services related to these requirements (such as third-party background check services or administrative tools). Any such services are provided for convenience only, and SeniorSpace does not conduct, verify, interpret, or guarantee the results of any background checks or other third-party services. SeniorSpace does not endorse or guarantee any User's qualifications, background, or suitability.
Community accounts may be required to pay a recurring subscription or membership fee to access and use the Platform ("Community Membership Fee"). Applicable pricing, billing frequency, and membership terms will be disclosed prior to activation of a paid Community account.
Community Membership Fees are billed on a monthly recurring basis to the payment method on file. By providing payment information, you authorize SeniorSpace to automatically charge the applicable fees each billing cycle until the membership is canceled.
Community memberships may be canceled at any time. Upon cancellation, access to the Platform will continue through the end of the then-current billing period. No refunds or prorated fees will be provided for partial billing periods unless required by applicable law.
If a Community's payment method for payments to SeniorSpace fails or a charge is declined, SeniorSpace may attempt to reprocess the payment. If payment is not successfully received within thirty (30) days of the initial failed payment, SeniorSpace reserves the right to suspend or terminate access to the Platform until payment is brought current.
Suspension or termination for non-payment does not relieve the Community of responsibility for any outstanding fees incurred prior to suspension or termination. Non-payment will constitute a material breach of these Terms.
SeniorSpace does not take a percentage of, or otherwise participate in, payments made between Communities and Vendors. SeniorSpace does not currently process payments for services booked through the Platform.
All payment terms, pricing, invoicing, and payment collection for services are determined solely between the Community and the Vendor. SeniorSpace is not responsible for late payments, non-payment, refunds, chargebacks, or payment-related disputes between Users. You represent and warrant that you understand, and agree, that SeniorSpace is not, will not be, and will not in any way be construed to be a party to any contract or agreement between any Users of the Platform.
Any disputes related to payment or services must be resolved directly between the Community and the Vendor. SeniorSpace may, at its discretion, provide access to Platform records or take action under these Terms, but is not obligated to mediate or resolve disputes.
SeniorSpace may offer optional paid or fee-based ancillary services, such as background checks, professional photography, invoicing tools, administrative features, or other platform enhancements. Any such services will be clearly disclosed and may be subject to additional terms or fees.
All Users agree to comply with these Terms and the SeniorSpace Code of Conduct. Users must use the Platform in a professional, respectful, and lawful manner.
Discrimination, harassment, abuse, or inappropriate conduct based on race, color, religion, age, sex, gender identity, sexual orientation, disability, national origin, or any other characteristic protected by law is strictly prohibited.
Users must comply with all applicable laws and any community-specific guidelines communicated by Communities.
Violations of the Code of Conduct are violations of these Terms and may result in suspension or termination of access to the Platform.
Users may create profiles, submit information, and post content on the Platform ("User Content").
You retain ownership of your User Content. By submitting User Content, you grant SeniorSpace a non-exclusive, royalty-free, worldwide license to host, display, reproduce, and use such content solely in connection with operating and promoting the Platform.
You represent and warrant that you have all necessary rights to submit your User Content and that it does not infringe the rights of any third party.
SeniorSpace reserves the right to remove, restrict, or disable access to any User Content that violates these Terms or the Code of Conduct. SeniorSpace does not claim ownership of User Content and does not endorse any User Content posted by Users.
You acknowledge that interactions arranged through an online platform involve inherent risks.
SeniorSpace does not conduct comprehensive background checks, supervise services, or guarantee the conduct of Users. Communities and Vendors are responsible for exercising their own judgment and due diligence.
You assume all risks arising from interactions and services arranged through the Platform, including but not limited to injury, illness, death, and all other risks associated with online or offline interactions with Users of the Platform. You acknowledge and agree that you alone are responsible for taking any necessary precautions to remain safe, to the greatest extent possible, when meeting persons offline that you connected with online.
You also acknowledge that documents posted to and content available through the Platform may contain computer viruses, and you expressly assume that risk. Should you download any such materials from the Platform, it is your responsibility to perform any scanning or other anti-virus precautions as you deem necessary. Under no circumstances will we be responsible for any loss or damage caused by any materials downloaded from the Platform. You assume full responsibility for all costs associated with all necessary servicing or repairs of any equipment you use in connection with your use of the Platform.
Without limitation to all other rights enjoyed by SeniorSpace, we expressly reserve the right at any time to:
SeniorSpace does not control the availability or content of any outside websites, applications, services, or resources (collectively, "Third-Party Services") to which the Platform may link. Concerns regarding any such Third-Party Services or links thereto should be directed to the particular outside third party service. Unless stated otherwise, SeniorSpace does not endorse, sanction, or verify Third-Party Services to which the Platform links, and we or our Users provide these links merely for the convenience of Users of the Platform. Access to such Third-Party Services is at your own risk, and we disclaim all liability with regard to your access to such Third-Party Services. In addition, we do not endorse, sanction, or verify Third Party Services that link to the Platform, even if any logo or mark of SeniorSpace is used as part of the link to the Platform.
Certain content made available through the Platform, including but not limited to text, articles, software, design elements, user interfaces, icons, logos, graphics, photographs, videos, audio clips, and other materials (collectively, the "Platform Content"), is owned by or licensed to SeniorSpace and is protected by copyright, trademark, trade dress, and other intellectual property laws.
The Platform and Platform Content as a whole are owned and controlled by SeniorSpace. All worldwide right, title, and interest in and to the Platform and Platform Content are reserved by SeniorSpace, except as expressly stated in these Terms.
References to third-party names, trademarks, or service marks on the Platform are for identification purposes only and do not imply any affiliation with, endorsement by, or sponsorship of such third parties by SeniorSpace, unless expressly stated otherwise.
Subject to these Terms and solely to the extent permitted by the functionality of the Platform, SeniorSpace grants you a limited, non-exclusive, revocable, non-transferable, and non-sublicensable license to access and use the Platform and Platform Content for your internal business or personal use in connection with discovering, booking, and managing services through the Platform.
Except as expressly permitted by these Terms or the Platform's functionality, you may not copy, modify, distribute, sell, lease, sublicense, publicly display, publicly perform, reproduce, republish, download, transmit, or otherwise use any Platform Content, in whole or in part, without SeniorSpace's prior written consent.
Nothing in these Terms grants you any right or license to use any SeniorSpace trademarks, logos, service marks, slogans, trade names, or other proprietary branding, or any third-party intellectual property displayed on the Platform, except as expressly permitted.
You agree to indemnify, save and hold harmless SeniorSpace, and its members, managers, employees, agents, representatives, licensors, affiliates, parents, subsidiaries, subcontractors, and partners (collectively, our "Related Parties") against any losses, judgments, damages, demands, costs, or expenses (including reasonable attorneys' fees and costs) arising out of any third-party claims resulting from any of the following:
Without limitation, you agree to reimburse us and our Related Parties on demand for any payments made in resolution of any liability or claim that is subject to indemnification under this Section. We will promptly notify you of any such claim. If a claim is made we will have the right to withhold payment of any monies due you in an amount reasonably related to the claim and potential expenses.
Invalidation of any provision of these Terms shall not impair or affect in any manner the validity and enforceability of the remaining portions, which in such event shall remain in full force and effect as if such invalid provision had never been included herein. If we fail to enforce any of our rights arising out of these Terms, such failure shall not constitute a waiver thereof. To be valid and enforceable, any amendment to or waiver of these Terms must be made in writing and signed or posted within the Platform by SeniorSpace.
SeniorSpace may suspend or terminate access to the Platform, with or without notice, if we reasonably believe it is necessary to protect the safety, integrity, or trust of the Platform, or in response to violations of these Terms or the Code of Conduct.
Termination does not relieve Users of obligations incurred prior to termination.
DISCLAIMER OF ALL WARRANTIES. All data and information featured on the Platform is provided strictly "AS-IS" and without any warranties of any kind, either express or implied, including without limitation warranties of title, accuracy, truth, reliability, completeness, currency, non-infringement, or any implied warranties of merchantability or fitness for a particular purpose. Further, we specifically make no representation or warranty regarding, and we disclaim and assume no liability or responsibility regarding: (i) the quality or availability of any postings made by you or any other users of the Platform; (ii) whether any scheduled events or engagements will occur; (iii) whether persons or acts contracted through the Platform will appear at any events or engagements; (iv) the ability of you or any other User of the Platform to engage in transactions with any other User; (v) any details relating to any transactions you may engage in with any other use of the Platform; (vi) the quality of the listings or other information offered by you or any User of the Platform; (vii) the financial condition of you or any User of the Platform; or (viii) compliance with local, state, and federal laws by you or any other User of the Platform. SeniorSpace makes no representation that the information on the Platform is appropriate or available for use in locations outside the United States, and access to the Platform from locations where the provision of such information may be illegal is prohibited. Users who determine to access the Platform from such locations do so on their own initiative and are responsible for compliance with all applicable laws.
Neither SeniorSpace nor any person or entity affiliated or involved with creating, producing, hosting, maintaining or delivering the Platform shall be liable for lost profits or revenues, loss of data, business interruption, or any direct, incidental, consequential, special, indirect, or punitive damages arising out of your, or any other party's access to or use of the Platform. Except where such limitation is prohibited by law, in no event shall SeniorSpace's liability, whether in contract, tort, or otherwise, exceed the amount paid to a Vendor or by a Community during the immediately preceding 12-month period in connection with its use of the Platform. To the maximum extent allowed by applicable law, SeniorSpace shall have no liability or responsibility for any errors, omissions, or inaccuracies in the content within the Platform or information flowing through the Platform.
SeniorSpace shall not be liable for any failure or delay in performance under these Terms (other than payment obligations) to the extent such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, fires, floods, earthquakes, power outages, internet or telecommunications failures, labor disputes, acts of government, public health emergencies, war, terrorism, or failures of third-party service providers.
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws principles, and, as to matters affecting copyrights, trademarks and patents, by U.S. federal law. Any claims arising out of, in whole or in part, these Terms or your use of (or inability to use) the Platform may only be brought exclusively in the United States District Court for the District of Colorado or the appropriate state courts located in Denver, Colorado. You agree to submit to the personal jurisdiction of such courts for the purposes of litigating any such claim(s).
SeniorSpace may update these Terms from time to time. Continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.
